Terms and Conditions for Online Service (Business Customers Only)
1) Introduction
These Terms and Conditions govern the use of our online service (the “Service”), which enables the purchase of products and services from KGJ Price Railway Contractors via our website (the “Site”).
These Terms apply to business customers only. By placing an order, you confirm that you are acting in the course of business and not as a consumer.
By using our Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2) Orders
All orders are subject to availability and acceptance.
Once an order is placed, you will receive an acknowledgement email. This does not constitute acceptance.
A binding contract is formed only when:
- the goods are dispatched; or
- we confirm acceptance in writing.
We reserve the right to:
- refuse or cancel any order
- limit quantities
- correct pricing or specification errors
3) Pricing and Payment
All prices are in GBP and are exclusive of VAT and delivery charges, unless stated otherwise.
Payment must be made in full at the time of order unless otherwise agreed in writing.
We reserve the right to:
- suspend or cancel orders where payment is not received
- charge interest on overdue payments at 4% above the Bank of England base rate
4) Delivery
Delivery dates are estimates only and not guaranteed.
We shall not be liable for delays caused by factors outside our control.
Risk in the goods passes to you upon delivery.
Ownership (title) of the goods shall not pass until full payment has been received.
If delivery is delayed due to your failure to provide access or information, we reserve the right to charge for storage and additional costs.
5) Inspection and Acceptance
You must inspect goods upon delivery.
Any:
- damage
- shortages
- incorrect items
must be reported within 48 hours of delivery.
Failure to do so will be deemed acceptance of the goods.
6) Cancellations
Orders may not be cancelled once accepted without our prior written agreement.
Where cancellation is agreed, we reserve the right to charge for:
- costs incurred
- materials ordered
- work completed
7) Returns and Refunds
Returns are accepted only with prior written approval.
Goods must be:
- unused
- in original condition
- suitable for resale
We reserve the right to apply a restocking charge.
Bespoke, made-to-order, or modified items are non-returnable unless defective.
8) Product Use and Responsibility
All products must be used:
- in accordance with relevant standards and regulations
- by competent and qualified personnel
You are responsible for ensuring suitability of the products for your intended application.
9) Warranties and Liability
We warrant that goods will be of satisfactory quality and as described at the time of delivery.
All other warranties, express or implied, are excluded to the fullest extent permitted by law.
Nothing in these Terms limits liability for:
- death or personal injury caused by negligence
- fraud or fraudulent misrepresentation
To the fullest extent permitted by law, we shall not be liable for:
- loss of profit
- loss of business
- loss of contracts
- indirect or consequential losses
Our total liability shall not exceed the value of the goods or services supplied.
10) Force Majeure
We shall not be liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to:
- supply chain disruption
- labour shortages
- transport delays
- extreme weather
- acts of God
11) Intellectual Property
All intellectual property rights in drawings, designs, specifications, and materials remain the property of KGJ Price Railway Contractors unless agreed otherwise in writing.
12) Privacy and Data Protection
We process personal data in accordance with our Privacy Policy.
13)Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14) Changes to Terms
We reserve the right to amend these Terms at any time. Updated Terms will be published on our website.
